These Terms of Use (the "Agreement" or the "Terms") describe the terms and conditions under which you, the entity agreeing to this Agreement ("you" or "your"), may access and use the Plates & Pixels platform and related products and services provided by Plates & Pixels I.K.E., a company duly incorporated under the laws of the Hellenic Republic ("Plates & Pixels", "P&P", "we", "our", or "us").
This Agreement is a legally binding contract between you and Plates & Pixels.
By accessing or using the Services, you: (a) Confirm that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy; (b) Represent and warrant that you have the legal authority and capacity to enter into this Agreement; and (c) If acting on behalf of a company or legal entity, represent that you are authorized to bind that entity.
If you do not agree to these Terms in their entirety, you may not access or use the Services.
1. Definitions
For purposes of this Agreement:
- "Platform" means the Plates & Pixels web application, mobile applications, AI modules, dashboards, hardware integrations, APIs, and supporting infrastructure.
- "Services" means access to and use of the Platform, including analytics, inventory management, invoice OCR processing, forecasting, supplier management, waste tracking, and AI-driven operational tools.
- "Subscription" means the right to access the Services during the Term.
- "End Users" means individuals authorized by you to access the Platform under your Subscription (e.g., employees, chefs, accountants, managers).
- "Applicable Laws" means all laws, regulations, and directives applicable in Greece and the European Union, including but not limited to: Greek Civil Code, Greek Commercial Law, Law 2251/1994 on Consumer Protection, Law 4624/2019 (Greek Data Protection Law), Regulation (EU) 2016/679 (GDPR), Greek tax and accounting regulations, and Hellenic Data Protection Authority (HDPA) guidelines.
2. Eligibility & Legal Compliance
2.1 Eligibility
You may use the Services only if:
- You are legally capable of entering into binding contracts under Greek law.
- Your use complies with all Applicable Laws.
- Your business operations are lawful.
If your use of the Services violates Applicable Laws, you are not authorized to use them. You are solely responsible for ensuring your compliance with Greek tax obligations, accounting regulations, labor regulations, food safety regulations, and data protection obligations.
Plates & Pixels is not responsible for your regulatory compliance.
2.2 Representations & Warranties
You represent and warrant that:
- All information you provide is accurate and up to date.
- You will not use the Platform for unlawful purposes.
- You will not upload fraudulent, misleading, or illegal data.
- You have authority to upload all business data submitted to the Platform.
2.3 Prohibited Uses
You may not:
- Reverse engineer, decompile, or copy the Platform.
- Attempt to bypass security systems.
- Use the Services for fraud, money laundering, or illegal trade.
- Use the Services to violate intellectual property rights.
- Upload malicious software or harmful code.
- Use the Services for employee surveillance in violation of Greek labor law.
Violation may result in immediate suspension or termination.
3. Registration & Subscription
3.1 Account Registration
You must provide accurate and complete information during registration. You are responsible for safeguarding login credentials, managing End User access, and all activity under your account.
Plates & Pixels is not liable for unauthorized access resulting from your failure to secure credentials.
3.2 Term
The Agreement begins upon activation of your Subscription and continues monthly or annually (depending on plan) until terminated by either party.
Either party may terminate with written notice according to your Subscription terms. Prepaid fees are non-refundable unless required by Applicable Laws.
3.3 Suspension
We may suspend Services if you breach this Agreement, we suspect fraud or illegal activity, required by law, or non-payment occurs.
We are not liable for losses resulting from lawful suspension.
4. AI, OCR & Data Processing
4.1 OCR & Automated Processing
The Platform uses Optical Character Recognition (OCR) and AI algorithms to process invoices, receipts, menus, and operational data. You acknowledge:
- OCR technology may contain inaccuracies.
- AI forecasts are predictive, not guaranteed.
- You are responsible for verifying critical business data before relying on it.
Plates & Pixels is not liable for business decisions based solely on automated outputs.
4.2 Forecasting & Analytics Disclaimer
Forecasting modules use historical and external data patterns. They do not constitute financial advice, tax advice, legal advice, or guaranteed operational outcomes.
All operational decisions remain your responsibility.
5. Hardware & IoT Integrations
If you use P&P hardware integrations (e.g., smart scales, sensors, cameras):
- You must comply with Greek labor and privacy laws.
- You are responsible for notifying employees where required.
- You must ensure lawful installation and use.
P&P does not monitor employees and does not assume responsibility for your compliance with workplace or surveillance laws.
6. Your Content & Data Processing
6.1 Your Content
You retain ownership of your business data ("Your Content"), including recipes, pricing, vendor data, and operational metrics.
By using the Services, you grant Plates & Pixels a limited license to host, process, and analyze your data to provide the Services, and to improve Services and develop AI models using anonymized and aggregated data.
We will not disclose identifiable proprietary information without your consent. Aggregated and anonymized benchmarking data may be used for research and product improvement.
6.2 Data Processing Agreement (DPA)
To the extent that Plates & Pixels processes any personal data on your behalf as a Data Processor under the GDPR, such processing shall be governed by our Data Processing Agreement (DPA), which is hereby incorporated by reference into these Terms. You agree that you are the Data Controller for all personal data uploaded to the Platform and are solely responsible for obtaining any necessary consents from your employees, customers, or vendors.
7. Third-Party Integrations
The Platform may contain links to or integrations with third-party software, applications, or services (e.g., accounting systems, tax portals like myDATA, payment gateways). Plates & Pixels does not endorse, control, or assume liability for any third-party services.
Your use of such services is governed solely by the terms and conditions of the respective third party. We are not liable for any data loss, downtime, or compliance failures caused by third-party integrations.
8. Confidentiality
"Confidential Information" means any non-public business, technical, or financial information disclosed by one party to the other.
Both parties agree to: (a) Protect the other party's Confidential Information with the same degree of care used to protect their own; (b) Not use the Confidential Information for any purpose outside the scope of this Agreement; and (c) Not disclose it to third parties without prior written consent, except as required by law.
9. Intellectual Property & Feedback
9.1 Intellectual Property Rights
All Platform intellectual property belongs exclusively to Plates & Pixels. You receive a limited, non-transferable, non-exclusive license to use the Services during your Subscription. You may not copy or redistribute software, reproduce proprietary algorithms, or create derivative works.
9.2 Feedback
If you or your End Users provide any suggestions, feature requests, or feedback regarding the Services ("Feedback"), you grant Plates & Pixels a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and distribute such Feedback without any obligation or compensation to you.
10. Fees & Payments
Subscription fees are payable as agreed. Failure to pay may result in suspension, late fees, or legal action.
All fees are exclusive of VAT unless stated otherwise. You are responsible for compliance with Greek tax obligations.
11. Warranties & Modification of Services
11.1 Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted under Greek law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and continuous or uninterrupted access.
We do not guarantee error-free AI results, 100% uptime, profitability improvements, or regulatory compliance outcomes.
11.2 Modification of Services
Plates & Pixels continuously improves its Platform. We reserve the right to modify, update, add, or deprecate features or functionalities of the Services at any time. We will make reasonable efforts to notify you of any material deprecation of core features.
12. Limitation of Liability
To the maximum extent permitted under Greek law, Plates & Pixels shall not be liable for indirect or consequential damages, loss of profits, business interruption, loss of goodwill, or data loss.
Our total aggregate liability shall not exceed the total subscription fees paid by you in the preceding twelve (12) months. Nothing in this Agreement excludes liability where exclusion is prohibited by Greek law (e.g., fraud or gross negligence).
13. Indemnification
You agree to indemnify and hold harmless Plates & Pixels and its officers, employees, and affiliates from claims arising from your breach of this Agreement, your unlawful use of the Platform, regulatory violations by your business, or employee disputes related to your use of hardware or monitoring tools.
14. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Hellenic Republic and applicable European Union law.
Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the Courts of Athens, Greece. Before initiating court proceedings, the parties agree to attempt amicable resolution in good faith.
15. Dispute Resolution
If a dispute arises:
- The parties shall attempt to resolve it through negotiation within thirty (30) days.
- If unresolved, either party may submit the dispute to mediation under Greek mediation law (Law 4640/2019).
- If mediation fails, disputes shall be resolved by the competent courts of Athens.
Class actions are not recognized under Greek procedural law; disputes shall be resolved individually.
16. Modifications to the Agreement
We may modify these Terms from time to time. Material changes will be notified via email or platform notification.
Continued use of Services after changes constitutes acceptance.
17. Force Majeure
We are not liable for failure or delay due to events beyond our reasonable control, including natural disasters, government action, cyberattacks, internet outages, or war or civil unrest.
18. Miscellaneous
This Agreement constitutes the entire agreement between the parties. If any provision is deemed invalid under Greek law, the remainder remains enforceable. Failure to enforce any right does not constitute waiver. You may not assign this Agreement without our written consent.
Survival: Sections regarding Intellectual Property, Fees & Payments, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination, shall remain in full force and effect after the termination or expiration of this Agreement.
